General terms and conditions for the ROPA online shop

Application

The supply, performance and offers of the ROPA company are based exclusively on the following terms and conditions. Deviations from the terms and conditions will be effective only if confirmed in writing by the ROPA company.

Offer

The offers of the ROPA company are non-binding and without obligation. The contract comes into effect on confirmation of the order by the ROPA company. The automatically generated confirmation of receipt is not a confirmation of the order. Minor discrepancies and technical changes compared to our illustrations and descriptions may occur. We reserve the right to correct incorrectly billed orders and to bill the correct value of the goods.

Prices

All listed prices include the statutory value added tax (VAT) of 19%. Prices are given in euros. Shipping costs in Germany are €6.90 including 19 % VAT per shipment. We specifically remind you that additional packaging and shipping cost may be applied. The actual cost of shipping to other countries will be applied. The invoice will include the cost of packaging and shipping. There is no minimum order value.

Terms of delivery

The delivery will not be made until ROPA Fahrzeug- und Maschinenbau GmbH has received the payment in full. Companies will be made in Germany and other countries by companies under contract to ROPA.

Transfer of risk

Goods will be delivered at the risk of the purchaser. The risk is transferred to the customer as soon as the goods are picked up by the transport company. This is also applicable if ROPA is paying the shipping costs. The purchaser must report shipping damage to the transport company without delay. The transport company is specified on the invoice.

Right of cancellation

You may cancel your order without specifying a reason within two weeks in writing (letter, fax, email) or by returning the goods. The order may not be cancelled if the goods cannot be sold otherwise or only at an unacceptable price reduction due to the individual nature of the items. The time limit at the time of receipt of the goods by the customer. The period of cancellation will be accepted if the cancellation is submitted by the deadline or the goods are returned.

Consequences of cancellation

If a cancellation is effective, the services received by both sides must be returned and if necessary previous use must be revoked. If the goods have deteriorated, compensation may be requested.
In general, the requirement for compensation may be avoided by not using the goods as the owner and avoiding any action that may affect the value. If a customer uses his/her aforementioned right of return/cancellation, he/she shall bear the full costs of the return shipment.

Warranty

The statutory warranty of 2 years from transfer of the goods to the customer will apply. If the purchaser is a company, the term is 6 months. The warranty does not cover normal wear and tear, i.e. normal use.
Customers's claims for damages, such as non-fulfilment, fault when concluding the contract, violation of ancillary contractual obligations, damages resulting from defects, damage due to improper action and other legal reasons will not be accepted unless due to deliberate action or gross negligence by ROPA.
If the delivered goods are defective and ROPA is responsible, ROPA will supply a replacement or repair the goods.
If the replacement delivery or the repair is still defective, the customer will be authorised to withdraw from the contract.

Retention of ownership

The delivered goods remain property of ROPA Fahrzeug- und Maschinenbau GmbH until payment in full is received. The purchaser agrees not to sell, mortgage or transfer the goods as security until the purchase price has been paid in full.

Payment

Payment is made in advance. After the order has been processed at ROPA Fahrzeug- und Maschinenbau GmbH, the invoice will be sent to the customer at the specified e-mail address. The purchaser agrees to transfer the invoice amount to the account specified in the invoice.

Partial invalidity

If a term of these terms and conditions should prove to be invalid now or in the future, the validity of all other terms or agreements will not be affected. The invalid term will be replaced by a valid term that will have the same business effect and will be as close as possible to the will of the parties as possible.

Side agreements

Side agreements and other deviations from the text of the contract must be in writing.

Data protection

In accordance with Sec. 28 BDSG (German Data Protection Act) we draw your attention to the fact that the data required for fulfilment of the contract are processed and stored on computer systems. All personal information received from the customer will be treated as confidential. The required information will also be used with third parties exclusively as required for processing the order. You are entitled to receive information on the stored data at any time free of charge.
